Microsoft originally had to purchase the rights to Rare back in the last generation of gaming during the Xbox days (5-6 years ago) in order to release games on the Xbox and Xbox 360 that they have. This is why Xbox 360 will be getting the original Perfect Dark for Xbox Live Arcade within the next couple weeks. Hope this helped!

It depends if while they aquired Rare, they also aquired any proprietary projects before a certain date. Either way there is a good chance that if they want to recycle a game like Conkers, they would have to pay some serious royalties to the original developers as the game was trademarked prior to the Microsoft take over.
